By accessing or using Portfolio Genius ("the Service"), operated by Teralyt Software LLC ("we", "us", or "our"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use the Service.

Portfolio Genius provides AI-powered portfolio tracking, analysis, and educational tools. The Service allows users to:

• Track investment portfolios and positions
• Receive AI-generated analysis and suggestions
• Connect brokerage accounts for automated tracking
• View portfolio performance metrics and analytics
• Share portfolios publicly with the community

Any AI-generated suggestions, analyses, or recommendations provided through the Service are for informational and educational purposes only and should not be construed as investment advice. You should always consult with a qualified financial advisor before making any investment decisions.

Past performance is not indicative of future results. Investing involves risk, including the possible loss of principal. You are solely responsible for your investment decisions.

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate and complete information when creating your account
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

The Service allows you to connect third-party brokerage accounts (such as Alpaca) for automated portfolio tracking. By connecting a brokerage account, you:

• Authorize us to access your account data for portfolio tracking purposes
• Acknowledge that trades executed through your brokerage are your sole responsibility
• Understand that we do not have the ability to execute trades on your behalf
• Accept that brokerage connections are subject to the terms of your brokerage provider

You may choose to make your portfolios public. By doing so, you grant us a non-exclusive, worldwide license to display your portfolio information to other users. You retain ownership of your content and may make your portfolio private at any time.

You agree not to post content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.

Some features of the Service require a paid subscription. By subscribing, you agree to pay all fees associated with your subscription plan. Subscriptions automatically renew unless cancelled before the renewal date.

We reserve the right to change subscription prices with reasonable notice. Refunds are handled on a case-by-case basis.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERALYT SOFTWARE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any investment decisions made based on information from the Service
• Unauthorized access to your account or data
• Errors, inaccuracies, or omissions in the Service
• Any third-party services or integrations

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may also terminate your account at any time by contacting us.

We may modify these Terms of Use at any time. We will notify users of significant changes through the Service or via email. Your continued use of the Service after changes constitutes acceptance of the modified terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
